Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Outrepped application and related services (the "Service"), operated by Outrepped ("Outrepped", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.

Outrepped is a sales workspace application for outreach, contact and account management, and pipeline tracking. The Service may change over time as features are added, modified, or removed. We may impose limits on certain features or restrict access to parts of the Service without notice or liability.

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least the age of majority in your jurisdiction to use the Service. Notify us promptly of any unauthorised use of your account.

You agree not to use the Service to:

• break the law or infringe the rights of others;
• send unlawful, deceptive, or unsolicited communications, or otherwise violate anti-spam, marketing, or data-protection laws applicable to your outreach;
• upload malware, attempt to gain unauthorised access, or interfere with the integrity or performance of the Service;
• reverse engineer or resell the Service except as permitted by law.

You are solely responsible for your communications sent through the Service and for obtaining any consent required to contact your recipients.

You retain all rights to the data and content you submit to the Service ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data as necessary to provide the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for having the rights necessary to submit it.

The Service can connect to third-party services you choose to authorise (for example, your email or calendar provider). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and connecting them is at your discretion. You can disconnect an integration at any time.

Some plans or features may require payment. Where paid plans apply, fees, billing cycles, and any applicable taxes will be presented to you before you subscribe. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing on a prospective basis with reasonable notice.

The Service, including its software, design, and trademarks, is owned by Outrepped or its licensors and is protected by intellectual-property laws. These Terms grant you no rights to our marks or to the Service other than the limited right to use it under these Terms.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Outrepped will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred (100) units of the applicable currency.

You agree to indemnify and hold Outrepped harmless from claims arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. On termination, your right to use the Service ceases; sections that by their nature should survive will survive.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Outrepped is established, without regard to conflict-of-laws rules. The specific governing law and venue will be finalised with counsel before launch.
